It is not investment, financial, legal, or tax advice, and nothing in it is a recommendation or solicitation to buy, sell, or hold any security or asset. Capwise is not a broker, dealer, investment adviser, or financial planner, and using it does not create any advisory or fiduciary relationship.
Capwise is currently in open beta and is provided free of charge, “as is” and “as available.” Features, data, and model outputs are experimental, may be inaccurate or unavailable, and may change or be discontinued at any time.
Investing involves risk, including the possible loss of principal. You are solely responsible for your own decisions and should consult a licensed professional before acting. Past performance and model forecasts do not guarantee future results.
1. Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and [Capwise — registered legal entity name] (“Capwise,” “we,” “us,” or “our”) and govern your access to and use of the Capwise website at https://capwise.io, our applications, and related services (collectively, the “Service”). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
2. What Capwise is — and is not
Capwise produces plain-language signals and probabilistic price-band forecasts for stocks, ETFs, and crypto assets across several time horizons, generated by statistical and machine-learning models from historical market and news data. These outputs, including any “BUY / HOLD / TAKE / SKIP” label, conviction indicator, predicted range, or written explanation, are general, impersonal information presented for educational purposes only.
Capwise does not know your financial situation, objectives, risk tolerance, or needs, and does not take them into account. The Service is not personalized advice, portfolio management, a research report within the meaning of applicable securities laws, or an offer or solicitation to engage in any transaction. We are not registered as a broker-dealer, investment adviser, or in any similar capacity in any jurisdiction.
3. No financial, investment, legal, or tax advice
Nothing on the Service constitutes investment, financial, legal, accounting, or tax advice, or a recommendation that any security, asset, transaction, or strategy is suitable for any specific person. No content should be relied upon as the basis for any investment or financial decision.
Your use of the Service does not create an advisory, brokerage, fiduciary, or other professional relationship between you and Capwise. Before making any decision, you should conduct your own research and consult independent, licensed financial, legal, and tax professionals who can consider your individual circumstances.
4. Your responsibility; no reliance
You are solely and entirely responsible for any decision you make and any action you take or do not take, whether or not informed by the Service. You agree that you will not treat any Capwise output as a sufficient basis for any decision and that you act at your own risk.
You acknowledge that you are not relying on Capwise for advice and that we have no obligation to monitor, update, correct, or continue to provide any signal, forecast, or other content.
5. Investment risk and assumption of risk
Investing and trading in securities, crypto assets, and other financial instruments involves substantial risk, including the risk of losing some or all of your capital. Markets are volatile and unpredictable. Prices can move sharply against any forecast.
- Past performance and back-tested or historical results do not guarantee or indicate future results.
- Model forecasts are estimates of probability, not promises; predicted ranges are routinely exceeded.
- Crypto assets are especially volatile and may be largely unregulated in your jurisdiction.
- You assume full responsibility for, and all risk of loss arising from, your use of the Service.
6. Open beta; the Service is provided “as is”
The Service is offered as a free, pre-release open beta for evaluation. It is experimental and under active development. You acknowledge and accept that the Service may:
- contain errors, bugs, inaccuracies, gaps, or interruptions, and may be unavailable at any time;
- produce incorrect, delayed, incomplete, or misleading data, signals, or forecasts;
- change, add, remove, suspend, or discontinue features, and lose, reset, or delete data, without notice; and
- be modified, suspended, or terminated in whole or in part at any time, for any or no reason.
We provide no service-level commitment, uptime guarantee, or assurance that the Service or any data will be preserved. You are responsible for keeping your own copies of anything important to you.
7. Forecasts, model outputs, and market data
Signals and forecasts are model-generated and probabilistic. They reflect patterns in historical data and may be wrong. Written explanations are produced by automated systems (including large language models) and may contain errors, omissions, or fabricated statements. Do not rely on any explanation as fact.
Market, price, news, and related data are obtained from third-party providers and may be delayed, inaccurate, incomplete, or unavailable. We do not independently verify, and are not responsible for, third-party data. The Service is not designed for, and must not be used as the basis for, automated, algorithmic, high-frequency, or order-routing trading.
8. Accounts and security
Some features require an account, created via Google sign-in or an email magic link. You agree to provide accurate information and to keep it current. You are responsible for all activity under your account and for maintaining the security of your sign-in method and devices. Notify us at support@capwise.io if you suspect unauthorized use.
You may not share, sell, or transfer your account, impersonate any person, or create an account on behalf of someone else without authorization.
9. Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service in violation of any applicable law, regulation, or third-party right;
- present, redistribute, resell, sublicense, or commercialize any Capwise output as your own or as advice to others;
- use the Service to operate, or hold yourself out as operating, an advisory, brokerage, or similar business;
- scrape, crawl, harvest, or use bots or automated means to extract data, except as we expressly permit;
- copy, modify, reverse engineer, decompile, or attempt to derive the source code, models, or underlying data;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its systems;
- remove or obscure any proprietary notice, or misrepresent your affiliation with Capwise; or
- upload or transmit malware, or any unlawful, infringing, deceptive, or harmful content.
10. Intellectual property and feedback
The Service and all of its content, software, models, signals, text, designs, and trademarks are owned by Capwise or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use. All rights not expressly granted are reserved.
If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you.
11. Third-party services and links
The Service relies on and may link to third-party services and content (for example, sign-in, data, analytics, and email providers). We do not control and are not responsible for third-party services, their content, or their practices. Your use of them may be governed by their own terms and policies.
12. Privacy
Our Privacy Policy explains what information we collect and how we use it, and is incorporated into these Terms by reference. By using the Service, you consent to those practices.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, DATA, SIGNALS, AND FORECASTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ACCURATE, RELIABLE, TIMELY, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, OR PROFITABLE. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CAPWISE OR ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, INVESTMENTS, CAPITAL, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — INCLUDING ANY TRADING OR INVESTMENT LOSSES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (WHICH, DURING THE FREE BETA, IS USD $0), OR (B) USD $100.
THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE SMALLEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
15. Indemnification
You agree to defend, indemnify, and hold harmless Capwise and its directors, officers, employees, contractors, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms or any law, or your infringement of any third-party right.
16. Suspension and termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any or no reason, including suspected violation of these Terms. You may stop using the Service and request account deletion at any time. The sections that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, intellectual property, and governing law — will survive.
17. Changes to the Service
Because the Service is in beta, we may add, change, suspend, or remove any part of it, including data, models, and features, at any time and without liability to you.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
19. Governing law and disputes
These Terms are governed by the laws of [governing jurisdiction — e.g. the Province of Ontario, Canada], without regard to conflict-of-laws rules. Subject to the paragraph below, you agree to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or relating to these Terms or the Service.
Before filing any claim, you agree to first contact us at legal@capwise.io and attempt to resolve the dispute informally for at least 30 days. To the fullest extent permitted by applicable law, you and Capwise waive any right to a jury trial and to participate in a class, collective, or representative action, and disputes must be brought only in an individual capacity.
20. General
These Terms and the Privacy Policy are the entire agreement between you and Capwise regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for any failure or delay caused by events beyond our reasonable control. Section headings are for convenience only.
